CONSTITUTION OF THE WESTERN PROVINCE WAVESKI SURFING ASSOCIATION

  1. NAME
  2. The Association shall be known as the Western Province Waveski Surfing Association hereafter referred to as W.P.W.S.A.

     

  3. JURISDICTION
  4. All members and any Club affiliated to the Association, shall be bound by this constitution.

     

  5. OBJECTIVES
  6. The objectives of the W.P.W.S.A. shall be:-

    1. To promote Waveski Surfing on a provincial level.
    2. To co-ordinate the activities of Waveski Surfing within the boundaries of the Western Cape geographical area.
    3. To establish rules and standards for the sport which shall conform with the rules and standards of the national controlling body, S.A.W.S.A.
    4. To select provincial waveski teams to participate in national competitions.

     

  7. MEMBERSHIP
    1. AFFILIATED CLUBS
      1. A club is defined as a group of at least three persons collected together for the express purpose of furthering the aims of waveski surfing at local level.
      2. Any club who affiliates to the W.P.W.S.A. shall be bound by the constitution of the W.P.W.S.A.
      3. Membership fees payable by affiliate clubs shall be determined by the Executive Committee of W.P.W.S.A.
    2. ASSOCIATION MEMBERS
      1. All members of affiliated clubs shall automatically be members of the W.P.W.S.A.
      2. Waveski surfers who are not members of an affiliated club may apply for direct membership of the Association and shall be bound by the constitution.
      3. Membership fees shall be determined by the Executive Committee.
      4. Honorary membership may be conferred on any person at the discretion of the Executive Committee.
      5. An application form (Appendix 1) shall be completed by all persons wishing to become members of W.P.W.S.A. In the case of clubs, a copy of their constitution must be submitted together with the application.
      6. Acceptance of membership shall be at the sole discretion of the Executive Committee of W.P.W.S.A.
      7. Membership of the Association shall be open to all races and religions.
      8. Membership fees shall be payable by the 28th February annually, the membership of any member or club, which remains unpaid 30 days after this date, will automatically lapse.


  8. RECORDS AND INFORMATION
    1. The financial year-end of W.P.W.S.A. shall be 28 February.
    2. All records of the W.P.W.S.A. shall be made available by the Executive Committee for inspection by any paid up member of the association on written request and notwithstanding shall be available at any Annual General Meeting for inspection.
    3. The Executive Committee shall forward to S.A.W.S.A. a certified copy of the Association=s financial records within 30 days after the financial year end.

     

  9. MANAGEMENT
    1. THE EXECUTIVE COMMITTEE
      1. The affairs of the Association shall be managed by the Executive Committee which shall consist of:-
      2. Chairman

        Secretary

        Treasurer

        Development Co-ordinator

        Contest Director

      3. The Executive Committee has the powers to co-opt members onto the Committee as the need arises. No more than two members may be co-opted.
    2. TERM OF OFFICE
      1. The members of the committee shall serve for a period of one year.
    3. ELECTION
      1. Members of the Committee shall be elected by vote at the Annual General Meeting.
      2. Only paid up members may cast a vote.
      3. Nominations for the committee shall be called from the floor and must be seconded.
      4. Candidates will leave the room and voting will take place by a show of hands.
      5. Each affiliated club may nominate one of its committee members to represent it on the committee if the need arises.
      6. The newly elected Committee will commence duties within two weeks of the A.G.M.
    4. POWERS OF THE EXECUTIVE COMMITTEE
      1. The Executive Committee shall have the power to do or cause to be done all such things as may be necessary for the proper implementation of the objects of the Association, including the power to take disciplinary or other action against any affiliated club or member who is deemed to have contravened the constitution of the Association or acted in such manner as to prejudice the sport.
    5. MEETINGS OF THE EXECUTIVE COMMITTEE
      1. Meetings of the Executive committee shall be convened on a monthly basis
      2. A quorum shall consist of 75% of the Committee members.
      3. An agenda shall be prepared for each and every meeting, which shall consist of:-
      4. Reading of previous minutes.

        Chairman=s report

        Treasurers report

        Development report

        Contest Directors Report

        General

      5. This agenda shall be circulated to all Committee members one week prior to each meeting, any member wishing to add items to the agenda must inform the Chairman at least one day prior to the issue of the agenda.
      6. Decisions shall be taken by vote, 75% being considered a majority.

     

  10. ANNUAL GENERAL MEETINGS
    1. Annual General Meetings of the Association will be held one month prior to the S.A.W.S.A. A.G.M. and in any event not later than the financial year end.
    2. Twenty-one days written notice must be given to all members and affiliated clubs
    3. QUORUM
      1. A quorum shall be 75% of paid up members. If within 15 minutes of the time appointed for a meeting a quorum is not present, the meeting shall stand adjourned for 30 Minutes, following which the members present, provided that they number at least 50% of the membership, and provided that at least three Committee members are present, shall be deemed to be a quorum.
    4. AGENDA
      1. The following agenda shall be adopted at every A.G.M. :
      2. Chairman=s Report

        Treasurers Report

        The Competition Directors Report

        The Development Co-ordinators report

        Election of Office Bearers.

      3. Any Member or affiliated club who wishes to add items to this agenda must submit these items in writing to the Executive Committee one week prior to the A.G.M.

     

  11. SPECIAL GENERAL MEETINGS
    1. A Special General Meeting shall be convened by the Chairman when requested to do so by any member of the Executive Committee or upon receipt of a written request signed by any affiliated club or at least five paid up members.
    2. Notice to convene any Special General Meeting shall be in accordance with the rules applying to Annual General Meetings.
    3. The rules applying to voting at Special General Meetings shall be in accordance with the rules applying to Annual General Meetings.

     

  12. STEPS AGAINST MEMBERS AND RELATED MATTERS
    1. The Executive Committee of the Association shall have the power to expel, suspend or take any other steps against any member of the Association failing to comply with or contravening the Constitution, any of the regulations of the Association, any resolution adopted and ruling made by the Association or the Executive Committee, any competition established or the laws of the sport.
    2. And, in general, to take steps against any member whose actions, or lack of action, in its sole opinion, is detrimental to the best interests of the Association or the sport of Waveski Surfing.
    3. The term "any other steps" referred to in para 8.1 shall specifically include (but not to the exclusion of any other measure) the following:-
      1. The imposition of a monetary fine the amount/s whereof shall be determined by the Association from time to time by way of regulation.
      2. The imposition of a suspension for a period of time to be determined by the Executive Committee.
    4. Should such monetary fine be imposed by the Executive Committee of the Association, it shall further have the power:-
      1. To deduct such fine from any moneys due to the Association by the member concerned.

      or

      To suspend such members voting rights at any General Meeting of the Association until such fine has been paid.

      or

      To terminate such members membership of the Association should the member concerned fail to pay such fine within 30 (Thirty) days of the imposition thereof.

      or

      To suspend such member=s rights of participation in any events organized by or under the auspices of the Association.

    5. Any steps taken against a member by the Executive Committee in terms of paragraphs above shall at all times be subject to the rules of natural justice, the member concerned shall not be entitled to legal representation.
    6. Notification of any expulsion, suspension, punishment, or any steps taken against a member shall be given to the member concerned in writing.
    7. Such member shall have the right to appeal to the Association against such decision by the Executive Committee, by notice in writing addressed to the Association within a period of 14 (Fourteen) days of issuing of the notification referred to in Par 8.6. Such appeal shall not have the effect of suspending any action taken against the member.
    8. The appeal shall be considered by the Association in General Meeting, at it's Annual General Meeting, Special General Meeting, or Committee Meeting first following the receipt of the appeal whichever shall be the earliest, provided that the Committee at its sole discretion, may convene an extraordinary General Meeting for the purposes of considering such appeal.
    9. At the meeting at which such an appeal is considered, the rules of natural justice shall apply, and the member concerned shall not be entitled to legal representation.

     

  13. PROVINCIAL COLOURS
    1. The awarding of Provincial Colors shall be at the sole discretion of the Executive Committee.
    2. The Provincial Colors shall be Blue And White, and the Provincial Badge shall be a Disa.
    3. All members qualifying to represent the province at National Level in competitions shall be entitled to Provincial colors. Apparel shall be nominated by the Executive Committee.
    4. The Committee shall at its sole discretion be empowered to award any other full Colors award on merit for outstanding achievement.
    5. The above may be subject to change by rulings from the National Sports Council.

     

  14. CHANGES TO THE CONSTITUTION
    1. The Constitution may only be altered or amended at an Annual General Meeting or Special General Meeting, if a quorum is present at such meeting and if the alteration or amendment is supported by a two-thirds majority.
  15. DISSOLUTION OF THE ASSOCIATION.
    1. The dissolution of the Association is subject to the consent of 75% of the paid up members. The association shall be disposed of according to the opinion of the club members and in accordance with the Provincial regulations laid down for the dissolution of Associations.
